TERMS AND CONDITIONS
We /ourselves/us/MISM means Modern In-School Music Ltd. You/yourself/the purchaser means the organisation, or the person acting on behalf of the organisation, placing the order.
These terms and conditions shall represent the sole and binding terms of the contract between ourselves and you. Where an organisation seeks to impose its own terms and conditions we will make best efforts to accommodate those terms. However, in the event of an irreconcilable conflict, these terms and conditions shall be deemed accepted by the purchaser on payment of the published price and shall subsequently prevail.
3. OUR COMMITMENTS TO YOU
We will supply sufficient information on our website through excerpts of song, script, score and notes to allow an informed decision to be taken by you regarding purchase or otherwise.
The T.E.S. website provides downloads of our musicals. These are intended to be delivered shortly after your purchase on the T.E.S. website.
Where any item we provide is found to be faulty on receipt, we will speedily replace the item at our own expense. Wear and tear by the purchaser is excluded.
On payment of the published Musical price, we grant the purchaser (or organisation represented by the purchaser) the right to make sufficient copies of ALL materials for successful production strictly for that organisation’s own use only, and for a period of 18 months from purchase date. This shall include scripts, scores, notes, lyrics and SyncSong material, in both photocopy and electronic file format
On payment of the published Musical price, We grant the purchaser of the musical (or organisation represented by the purchaser)the right to adapt the spoken words and story to the organisation’s requirements. Lyrics are excluded – separate permission must be obtained from MISM for any adaptation.
On payment of the published Performance Licence price (or where included free of charge), we grant the purchaser of the Performance Licence (or organisation represented by the purchaser) the right to perform the musical, within 18 months of purchase date of the Licence, to an audience beyond teachers and pupils where a school, and beyond participating members where a church or other organisation.
On payment of the published Performance Licence price (or where included free of charge), we grant the purchaser of the Performance Licence (or organisation represented by the purchaser) the right, within 18 months of purchase date of the Licence, to make sound and/or visual recordings of stage or vocal performances, using music backing tracks as required, and, separately, to create event programmes as appropriate, and to offer these for sale up to a maximum of 1,000 units in total (I.e. all unit sales added together, whether CDS, DVDs or souvenir programmes).
4. ORDERING, DELIVERY, RETURNS
Following perusal of our website, if you decide to purchase a musical then please proceed to the T.E.S. website.
Following purchase of a musical on the T.E.S. website:
if you have not received your download or link within ONE working day, please advise us immediately and we will take immediate steps to resolve the problem.
Following receipt of the Musical via download from the T.E.S. website, due to copyright rules, we are unable to accept return of the files. Hence, please make extensive use of the various excerpts/information available on our website before ordering. Once a download link has been clicked the purchaser is deemed to have abandoned the right to a refund.
5. ONWARD USE OF MISM MUSICALS FOLLOWING PURCHASE AND RECEIPT
5.1 SOFTWARE COMPATIBILITY
Text files are provided in Word format (.doc not .docx, to ensure compatibility with all school/church systems with Word), and in the universally accessible PDF format.
Audio tracks are provided in .mp3 (or occasionally in .wav) format, which means the audio CD should play on all CD-playing audio equipment.
Hence all the above files should be readable by Windows operating systems dating back to Windows 98, and on Apple (Mac) machines with an app capable of reading Word documents.
SyncSong files specifically are provided primarily as MP4 video/words file, readable by most machines (Windows and Mac) purchased this century.
(Additional versions are provided for some Musicals in PowerPoint Viewer readable format. While the PowerPoint Viewer is downloadable free from Microsoft, this software is NOT at present compatible with Apple (Mac) operating systems. This is provided as an additional, free, add-on and does not constitute part of the paid-for package.)
As above, purchase of the musical allows you to make sufficient copies of documents via printing, and of files to ensure a successful production, but only for your school/church use and for no one else, and only in the 18 month period following purchase. Specifically, you may not lend, give or sell any elements of the musicals to any other organisation than the sole organisation for whom the musical was originally purchased. Illegal usage is pursued vigorously, and fines are very substantial.
5.3 LICENCING: THE PERFORMANCE LICENCE
PERFORMANCES COVERED BY THE PERFORMANCE LICENCE
A Performance Licence is required for all productions for audiences beyond teachers and pupils whether an entry fee is charged or not – such performances are NOT covered by the general PRS Licence.
The Performance Licence is currently provided free if purchased at the same time as the musical and covers all performances within an 18 month period following purchase date.
RECORDINGS COVERED BY THE PERFORMANCE LICENCE
Issuing of the Performance Licence also includes within the Licence, within 18 months of purchase date of the Licence, the facility to make sound and/or visual recordings of your own stage or vocal performances, using music backing tracks as required with your children’s voices, and, separately, to create event programmes as appropriate. You are able to offer these for sale up to a maximum of 1,000 units in total (I.e. all unit sales added together, whether CDS, DVDs or souvenir programmes).
Note that you may only include material which is intended to showcase your pupils’ performances and hence features their voices. You may not use MISM original material as instrumentals, mood music etc. unaccompanied by children’s voices. Note also that any such created CDs/DVDs may require separate agreement from your pupils/parents. It is your responsibility to obey the appropriate current laws.
6. ON-LINE PUBLISHING
Since on-line publishing allows the material to be accessed by a much wider audience and would, in any case, raise issues regarding consent by your pupils’ parents, you may NOT publish MISM material on-line in any form whatsoever without our express permission. This restriction does not include school servers – you may place MISM files on your school server provided it cannot be accessed by the public. It may NOT be accessed by any other school or institution.
Any breach of the above terms will be met with substantial fines of up to £100,000 at the discretion of MISM and according to the circumstances of the breach.
Modern In-School Music Ltd. shall not be liable for any damages arising from items sold or decisions and actions arising from the use of either its products or its website. We do not guarantee that software, downloads or files are free of bugs errors or, viruses. Teachers and Production organisers must use their discretion and common sense at all times and make the appropriate checks. In particular regarding the website, MISM takes no responsibility for sites linked to MISM website, and the links included are provided as an additional facility and in no way imply endorsement of those sites.
